AbbVie 8-K: $216 million deal charge trims Q3 EPS guidance to $3.73-$3.77, full year to $13.76-$13.96

AbbVie told the SEC that third-quarter results will carry $216 million of acquired IPR&D and milestones expense, worth $0.11 a share. The number is an accounting charge, not a change in how the business is selling.

AbbVie (NYSE: ABBV) filed a Form 8-K on Monday under Item 2.02 saying its third-quarter results will include $216 million of acquired in-process research and development (IPR&D) and milestones expense, before tax. The company put the hit at $0.11 a share, to both GAAP and adjusted diluted earnings per share. It also reissued its guidance with the charge included.

The number that changed

The company's exhibit lays out the before and after. Both ranges move down by exactly $0.11, because the charge lands in adjusted earnings as well as GAAP.

Our arithmetic from those figures: the midpoint of the quarterly range falls from $3.86 to $3.75, about 2.8%. The midpoint of the full-year range falls from $13.97 to $13.86, about 0.8%. The year's total of this kind of expense rises $216 million, or roughly 21%.

What this is, and what it is not

The easy read of an 8-K headed "guidance" is that AbbVie lowered its outlook. The filing says something narrower. AbbVie states that it does not forecast acquired IPR&D and milestones expense, because it depends on when licensing deals, collaborations and asset purchases happen to close. Its July guidance therefore excluded any such expense after the second quarter. The 8-K simply puts a deal that did close in the quarter into the numbers.

The filing does not say which transaction or milestone produced the $216 million, and we did not find that detail in the 8-K or its exhibit. We are not guessing at it. It also warns that results for the quarter ended September 30 are not finalized and are subject to closing procedures, so the final figure can differ. The filing does not give a date for the third-quarter report.

Where the shares stand

According to Nasdaq quote data, AbbVie closed Monday at $265.70, essentially flat on the day, inside a 52-week range of $190.75 to $269.39. That leaves the stock about 1.4% below its 52-week high. We do not know from the filing whether it was released before or after the close, so we are not attributing any price move to it.

The next report matters in two parts: the headline EPS, which now carries the charge, and whether the company's sales and the rest of its guidance stay where they were.
