AMC Form 4s: executive stock awards sized at $1.24 a share in February took effect at $2.91

Shareholders doubled AMC's equity plan to 50 million shares on September 24 and, in the same meeting, voted 54.7% against executive pay. Nine officers' awards became effective that day, worth more than twice what the board set.

AMC Entertainment filed nine Form 4 reports on Monday showing that its chief executive, Adam Aron, and eight other officers received a combined 5,609,909 restricted stock units on September 24, 2026. The units vest in thirds in January 2027, 2028 and 2029. None of this was a purchase or a sale: these are pay awards. What makes them a story is the price they were sized at, set seven months earlier.

The number that changed: $1.242 became $2.91

AMC's proxy statement explains that the compensation committee approved these awards on February 19, 2026 as "Conditional Awards", because the 2024 equity plan did not have enough shares left to cover them. The board picked a dollar value for each person and converted it into units at $1.242 a share, the five-day average close before February 19. The awards took effect only once shareholders approved more shares for the plan.

That approval came at the annual meeting on September 24, when AMC closed at $2.91, according to Nasdaq data. The unit count was fixed in February, so the value was not: the stock is up about 134% from the price the awards were sized on. On our arithmetic, at the September 24 close:

The Form 4s report only the time-vesting part. Aron's 3,059,582 units are exactly 40% of the 7,648,954 in the proxy table, as are Goodman's; for Ellis, Way and Chavarria the reported units are half. The rest are performance units counted at target, so what they finally deliver depends on whether performance goals are met. The dollar figures in the right-hand column are a paper value, not a payout.

Across everyone, the proxy lists 19,919,553 units worth $24.7 million at the February price, including about 7.2 million for non-executive employees. At $2.91 that block is worth roughly $58 million, and it uses about 80% of the 25 million shares shareholders just added. AMC's stock closed Monday at $3.285, up 11.7% on the day; nothing in the company's filings explains that move and we did not find a news cause.

Yes to the share pool, no to the pay

The 8-K with the vote results shows the split. The plan amendment, which raised the pool from 25 million to 50 million shares, passed with 93.5% of votes cast. The non-binding say-on-pay vote failed: 202.7 million shares against, 167.8 million for, or 54.7% against. AMC registered the extra 25 million shares on a Form S-8 the same day.

There is a reason shareholders could oppose the pay and still approve the pool. The proxy warned that without more shares, the 2026 awards would "likely need to be settled in cash", which it estimated at $17.1 million to $58.6 million at the June 30 stock price, and said that cash may be better used elsewhere given "recent cash flow challenges". AMC had just priced a $3.97 billion refinancing the day before the meeting. By the company's own account, voting down the pool would most likely not have cancelled the awards, only moved their cost from new shares to cash.

The meeting also showed how hard AMC's share structure is to change. Proposals to declassify the board, allow action by written consent and let holders call special meetings each won more than 97% of votes cast, and each failed, because they needed a majority of all 892.6 million outstanding shares and got about 40%. Broker non-votes alone were 180.5 million shares.

What we're watching

  • Form 4s for the performance units, which will show how many are actually earned.
  • How much of the new 50 million share pool is left after these awards. The proxy said the increase is not expected to cover future years at current grant levels.
  • Whether next year's pay proposal changes. Shareholders chose to hold the say-on-pay vote every year, with 97.7% support.
